Tata Motors has completed the initial settlement of its recommended tender offer for Iveco Group, securing approximately 89.42% of the international commercial vehicle manufacturer’s common share capital.
The development marks a significant step in Tata Motors’ international expansion strategy and brings Iveco Group into its corporate structure.
According to a joint announcement issued by Tata Motors and Iveco Group on October 30, the acquisition was completed following the settlement of shares tendered during the acceptance period.
The transaction was carried out through TML CV Holdings B.V., an indirect wholly owned subsidiary of Tata Motors.
Tata Motors secures majority ownership of Iveco
Following the settlement, the acquiring entity holds 238,157,212 common shares, representing approximately 89.42% of Iveco Group’s common share capital, excluding treasury shares.
The tender offer was made at a cash consideration of €14.40 per common share, including dividend entitlement.
With the completion of the initial settlement, Iveco Group has become part of Tata Motors.
The acquisition represents a significant development for the commercial vehicle industry because it combines two established automotive businesses with international operations.
What Iveco brings to Tata Motors
Iveco is an international commercial vehicle and mobility company with operations across multiple markets.
Its business includes commercial vehicles and mobility-related solutions, making it strategically relevant to Tata Motors’ ambitions in the global commercial vehicle market.
The combination provides an opportunity to strengthen product capabilities, expand geographic reach and develop a broader commercial vehicle portfolio.
For Tata Motors, international expansion through acquisitions can provide access to established distribution networks, customers, manufacturing capabilities and technological expertise.
The commercial vehicle industry is also undergoing changes driven by electrification, alternative fuels, connected technologies and stricter emissions requirements.
These developments make technological capabilities and international scale increasingly important.
Further tender offer window announced
The companies have also announced that the acceptance period will reopen for five trading days, from November 2 to November 6, 2026.
The reopening will allow additional eligible shareholders to tender their shares under the announced terms.
The settlement of shares tendered during this reopening period is scheduled for November 13, 2026.
The subsequent steps relating to the remaining shareholding and applicable legal procedures will be communicated by the offeror in due course.
Implications for the global commercial vehicle industry
The transaction could reshape the competitive landscape of the global commercial vehicle sector.
A broader business structure may provide opportunities to improve operational scale, product development and market access.
However, the long-term benefits will depend on integration, capital allocation, manufacturing strategy and the ability to manage operations across different markets.
For customers and suppliers, the key developments to watch will include product strategy, distribution arrangements, technology investments and operational integration.
The completion of the initial settlement is therefore an important corporate milestone. The next phase will involve managing the combined business and translating the acquisition into long-term commercial value.
