India’s largest stock exchange has moved a step closer to its long-awaited public listing after the Securities and Exchange Board of India (SEBI) agreed to settle all pending regulatory cases involving the National Stock Exchange (NSE). The decision removes one of the biggest hurdles to the exchange’s proposed initial public offering (IPO), which is expected to be among the country’s most closely watched market events this year.
According to NSE, SEBI has granted in-principle approval to a settlement covering long-running regulatory matters linked to governance issues and allegations concerning equal access for trading members. As part of the settlement, NSE will pay ₹14.91 billion, or around ₹1,491 crore, making it the largest settlement by a single entity in India’s capital markets.
The settlement marks the latest chapter in a regulatory process that has delayed the exchange’s listing for several years. With the legal uncertainty largely resolved, NSE is now in a stronger position to proceed with its IPO, subject to regulatory approvals and completion of the listing process.
NSE has already filed its draft offer documents with SEBI and has reportedly begun investor roadshows ahead of the proposed share sale. The National Stock Exchange plays a central role in India’s financial system, handling a significant share of the country’s equity derivatives and cash market trading.
